Aufgaben

  • In dieser Rolle beraten Sie die nationalen und internationalen Konzerngesellschaften international rechtlich, insbesondere in den Bereichen Gesellschaftsrecht und M&A.
  • Sie begleiten und koordinieren alle rechtlichen Aspekte bei M&A-Transaktionen und konzerninternen Strukturmaßnahmen.
  • Darüber hinaus entwerfen und verhandeln Sie Unternehmenskauf- und Joint Venture-Verträge eigenständig.
  • Sie beraten unsere Konzerngesellschaften zu gesellschaftsrechtlichen Fragestellungen, insb. im GmbH- und Aktienrecht.
  • Sie bereiten Gremienentscheidungen und -sitzungen vor, inklusive Protokollerstellung.
  • Zudem arbeiten Sie eng mit Fachabteilungen wie M&A, Steuern, Finanzen und HR zusammen und steuern externe Berater.

Profil

  • Sie besitzen das zweite juristische Staatsexamen und haben mindestens 5 Jahre Berufserfahrung in den Bereichen Gesellschaftsrecht/M&A
  • Sie haben vertiefte Kenntnisse im GmbH- und Aktienrecht; Kenntnisse im Mitbestimmungsrecht sind von Vorteil
  • Sie arbeiten gerne in internationalen und interdisziplinären Teams und sind belastbar
  • Sie sind kommunikationsstark, verhandlungsgeschickt und durchsetzungsfähig
  • Sie beherrschen Deutsch und Englisch verhandlungssicher in Wort und Schrift. Weitere Fremdsprachenkenntnisse sind von Vorteil
